Terms of Service

1. Acceptance of Terms

By accessing and using ClientsPlace ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ClientsPlace provides a multi-module service platform for client operations. Depending on your plan and enabled features, the Service may include authentication, workspace and team management, clients, projects, invoices, payments, files, deliverables, client onboarding, booking and calendar, document chain with e-signatures, AI agents and content studio, apps marketplace, helpdesk and ticketing, community hub, BI studio and analytics, learning management, offerings, requests, quotes, messaging, portal experiences, enterprise controls, CRM functionality, compliance center, workflow automation, and white-label branding. The Service is provided on a subscription basis with plan and feature entitlements.

3. User Accounts

3.1 Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.

3.2 Account Responsibility: You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.

4. Subscription and Payment

4.1 Plans: We offer subscription tiers with different modules, limits, and feature entitlements. Some capabilities, including AI agents, helpdesk, community hub, BI studio, enterprise controls, CRM modules, compliance center, marketplace integrations, add-ons, and workflow automation, are only available on specific plans or when separately enabled.

4.2 Billing: Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

4.3 Payment Methods: We may use third-party billing and payment processors, including providers such as Stripe, Paddle, PayPal, and Skrill. By providing payment information, you authorize the applicable fees and processing required for your subscription or enabled services.

4.4 Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the end of your billing cycle.

4.5 Cancellation: You may cancel your subscription at any time. Your account will remain active until the end of your billing period.

5. Client Payments

When your clients make payments through portal or invoice flows, those payments are processed by third-party payment providers. We are not responsible for failures, chargebacks, settlement delays, or service interruptions caused by those providers. Additional provider fees, regional restrictions, verification requirements, or compliance obligations may apply.

6. Acceptable Use

You agree NOT to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or malware
  • Harass, abuse, or harm others
  • Spam or send unsolicited communications
  • Collect user data without consent
  • Attempt to gain unauthorized access to the Service or misuse permissions, workflow execution, API credentials, marketplace integrations, or enterprise administration controls

7. Content and Data

7.1 Your Content: You retain all rights to content and records you submit or configure in the Service, including files, invoices, portal content, client records, messages, documents, community posts, course materials, workflows, settings, and operational data. By using the Service, you grant us a license to host, store, process, transmit, and display that data as necessary to operate the Service.

7.2 Prohibited Content: You may not upload or configure illegal, infringing, malicious, defamatory, deceptive, or otherwise prohibited content, including unsafe files, abusive messages, unlawful workflow payloads, or unauthorized third-party data.

7.3 Data Backup: While we perform operational backups and resilience measures, you remain responsible for retaining copies of business-critical data, exports, or records you need outside the Service.

7A. AI Data Processing

The Service includes AI-powered features that process your data to generate outputs such as document drafts, meeting summaries, content suggestions, and expense categorizations. The following terms apply to AI features:

7A.1 AI Agents: AI agents process your business data (client records, project details, communication history) to generate proposals, summaries, and content. Your data is not used to train third-party AI models. You retain full ownership of all AI-generated content and are responsible for reviewing outputs before use.

7A.2 AI Document Generation: AI-assisted document generation uses your templates, client data, and business context to draft contracts, proposals, and communications. Generated documents are drafts until you review and approve them.

7A.3 Expense OCR and Categorization: Optical character recognition (OCR) is used to extract data from uploaded receipts and invoices. AI may suggest expense categories based on extracted content. You are responsible for verifying the accuracy of extracted data and categorizations.

7B. Meeting Transcription and Recording

If you enable meeting transcription features, audio or video content from meetings booked through the Service may be transcribed and summarized. You are responsible for obtaining consent from all meeting participants before enabling recording or transcription. Transcription data is stored in your workspace and subject to your data retention settings. We do not access transcription content except as necessary to provide the Service.

7C. Document Routing and Electronic Signatures

The document chain feature enables routing documents for review, approval, and electronic signature. Electronic signatures collected through the Service are intended to create legally binding agreements between you and your signatories. We maintain audit trails of signature events including timestamps, IP addresses, and signer identity verification. You are responsible for ensuring your use of electronic signatures complies with applicable laws in your jurisdiction (e.g., ESIGN Act, eIDAS Regulation). We do not provide legal advice on the enforceability of electronic signatures.

7D. Community Content

If you enable the community hub, your clients and team members may post content including discussions, comments, files, and resources. You are responsible for moderating community content within your workspace. We reserve the right to remove content that violates these Terms or applicable law. Community content posted by your clients remains their intellectual property, but by posting they grant you and us a license to display and distribute it within the community context.

8. Privacy and Security

We take your privacy seriously. Please review our Privacy Policy to understand how we collect, use, protect, and govern data across platform, portal, AI, document, community, analytics, enterprise, add-on, and workflow features.

9. Service Availability

We strive to operate the Service reliably, but we do not guarantee uninterrupted access. Modules or integrations may be unavailable because of maintenance, updates, external provider failures, abuse prevention, feature gating, billing status, security controls, or circumstances beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTSPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE.

11. Termination

We reserve the right to suspend, limit, or terminate your account or access to specific modules if you violate these Terms, misuse feature entitlements, endanger the security of the Service, fail to pay applicable fees, or engage in fraudulent, abusive, or illegal activity.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
